Commercial & Technology Due Diligence for a Restaurant-Tech Platform

Technology — F&B Tech ·APAC (Malaysia)

Context

A Singapore-based private equity fund was evaluating a strategic investment in a leading Malaysian restaurant-tech company. The target specialised in integrated software solutions for F&B outlets, with strong traction among mid-to-large restaurant chains through locally customised, modular offerings.

The challenge

The investor needed a rapid assessment of the target’s technical architecture, scalability potential, and competitive positioning — while identifying critical gaps, market threats from global SaaS competitors, regulatory risks, and required investment in technical capabilities to support sustainable regional expansion.

What we did

We conducted a detailed evaluation of the platform’s technology architecture, assessing its monolithic vs. microservices structure, cloud deployment maturity, DevOps practices, and technical debt. We reviewed data security practices and compliance with local and international regulatory frameworks.

On the commercial side, we performed extensive competitive benchmarking against regional and global SaaS competitors, analysed customer satisfaction and product reliability, and assessed API integrations with third-party services. We evaluated the product roadmap, including the feasibility of proposed features such as AI-driven inventory optimisation, predictive staffing, and advanced analytics.

Results

  • Confirmed a robust platform foundation with strong localisation, capable of capturing significant regional market share
  • Identified critical technical debt and architecture optimisation needs, recommending strategic investments in refactoring core modules to microservices for scalability
  • Highlighted strategic differentiation opportunities through advanced data analytics, AI integration, and ecosystem partnerships — informing both the investment decision and the post-acquisition value creation plan
